Becoming a vendor at the Northern Virginia Pride Festival is easy!

FAIRFAX PRIDE INC.

doing business as: NOVA Pride

 

PARTIES:

This agreement exists between FAIRFAX PRIDE INCORPORATED (the Host) a not for profit corporation registered in the COMMENWEALTH OF VIRGINIA (the State), and you (the Vendor).

 

AGREEMENT:

This agreement shall be considered signed by both parties when the Vendor completes and submits the vendor application. This agreement shall be considered valid from the point of agreement for 365 days, or until the completion of the 2014 Northern Virginia Pride Festival on October 5th 2014, whichever is later.

 

The Vendor agrees to provide full and accurate information on the vendor application, and failure to provide truthful and accurate answers shall result in termination of this agreement, and forfeiture of any fees paid to the Host.

 

HOLD HARMLESS:

The Vendor agrees to hold harmless all members of the Host, their board of directors, officers, volunteers, staff, and contractors and any other vendors, from any and all liability due to the Vendor for injuries, damages and any losses suffered by the Vendor for the duration of this agreement. The Vendor also agrees to additionally hold harmless the Northern Virginia Regional Park Authority and their officers, staff, volunteers from all liability due to the Vendor for injuries, damages and any losses suffered by the Vendor for the duration of this agreement.

 

INSURANCE:

The Vendor agrees to hold liability insurance to cover all products and properties of the Vendor.

 

PAYMENT:

The Vendor agrees to the fees listed herein:

1.       Vendor Fee Due at Application - $500.00

2.       Sales Proceeds (5% of gross income over $1,000)

Sales proceeds are due to NOVA Pride 30 days following the completion of the 2014 Northern Virginia Pride Festival.

 

CANCELLATION:

The Vendor  may cancel at any time 60 days prior to the start of the festival, and shall be entitled to a refund of 75% of the Vendor Fee listed in number 1 above. If the Vendor cancels their registration within 30-60 days of the start of the festival, the Vendor shall be entitled to 50% of the Vendor Fee listed in number 1 above.  Cancellations within 30 days of the festival shall result in a full forfeiture of the Vendor Fee listed above.

 

WEATHER:

In the event of inclement weather, the Host shall at it’s sole discretion postpone or cancel the festival. In the event of a cancelation due to inclement weather, each vendor shall be entitled to either a credit of the Vendor Fees listed above to the vendor fees of a festival or event held by the Host in the future, or a full refund of the vendor fees.

 

In the event of a postponement, the Host shall provide the new date of the festival as soon as it is known to the Host. The Vendor may within 2 working days of this notice cancel their registration and be entitled to a 75% refund of vendor fees paid to the Host. Cancelations outside of this policy shall be handled on a case-by-case basis at the sole discretion of the Board of Directors of the Host.

 

TERMINATION:

Each portion of this agreement is severable, and if any portion of this agreement is held un-enforceable by a court of proper jurisdiction, the remainder of this agreement shall remain valid.

 

This agreement may be terminated by mutual agreement of all parties at least sixty days prior to, or thirty days after the start of the festival.

 

VENUE:

Any disputes regarding this agreement shall be brought only in the courts of the COUNTY OF FAIRFAX, VIRGINIA.
